Terms & Conditions

Welcome to SkyFlow Agriculture Robotics Inc. ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and products (collectively, the "Services"), including our online quotation tool (the "Calculator"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, please refrain from using our Services.

1. Acceptance of Terms

By using our Services, you confirm that you are at least 18 years old and capable of entering into a legally binding agreement. If you are using our Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. Please review these Terms periodically for updates.

3. Use of Services

3.1. Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.

3.2. Restrictions

You agree not to:

  • Use the Services in any manner that could disable, overburden, or impair the Services or interfere with any other party's use of the Services.

  • Attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services.

  • Use any automated means, such as robots or data mining tools, to access or use the Services.

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.

4. Online Quotation Tool (Calculator)

4.1. Purpose

Our Calculator is provided to offer users an estimate for our agricultural drone services based on the information provided by the user.

4.2. Accuracy of Information

  • User Responsibility: You are responsible for ensuring that all information you input into the Calculator is accurate and complete.

  • Estimate Only: The quote generated by the Calculator is an estimate and not a binding offer. Final pricing may vary based on additional factors such as site inspections, actual acreage measurements, and specific service requirements.

4.3. No Binding Agreement

Use of the Calculator does not create a contractual obligation. A binding agreement for services will only be formed upon the execution of a separate service contract or agreement.

4.4. Limitations

We strive to ensure that the Calculator is accurate and up-to-date, but we make no warranties or representations regarding its accuracy, reliability, or completeness.

5. Promotions and Discounts

From time to time, we may offer promotions or discounts, such as:

  • First-Time Customer Discount

  • Free Precision Agriculture Service for Orders Before March 31, 2025

  • Free Travel Fee Eligibility

5.1. Terms of Promotions

  • Promotions are subject to change without notice.

  • Promotions cannot be combined unless expressly stated.

  • Eligibility for promotions is determined solely by us.

5.2. Conditions

  • First-Time Customer Discount: Applicable only to new customers who have not previously used our services.

  • Free Precision Agriculture Service: Valid for orders placed before March 31, 2025.

  • Free Travel Fee Eligibility: Determined based on your location as entered in the Calculator.

6. Payment Terms

6.1. Deposits

  • A payment of 50% of the quoted price may be required to confirm your booking.

  • The remaining balance is due upon completion of the services to your satisfaction.

6.2. Payment Methods

We accept various payment methods, which will be communicated to you during the booking process.

6.3. Late Payments

  • Failure to make timely payments may result in delays or cancellation of services.

  • We reserve the right to charge interest on overdue amounts as permitted by law.

7. Cancellation and Rescheduling

7.1. Cancellation by You

  • You may cancel or reschedule services by providing us with at least 4 days' notice.

  • Cancellations made less than 4 days before the scheduled service may be subject to a cancellation fee.

7.2. Cancellation by Us

  • We reserve the right to cancel or reschedule services due to weather conditions, equipment failure, or other unforeseen circumstances.

  • In such cases, we will work with you to reschedule at a mutually convenient time.

8. Intellectual Property Rights

8.1. Ownership

All content, features, and functionality on our website—including but not limited to text, graphics, logos, images, and software—are owned by us or our licensors and are protected by intellectual property laws.

8.2. Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes.

8.3. Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our intellectual property without our prior written consent.

9. Disclaimers

9.1. No Warranty

  • The Services are provided "as is" and "as available," without any warranties of any kind, express or implied.

  • We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9.2. Limitation of Liability

  • In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

  • Our total liability to you for any damages shall not exceed the amount paid by you, if any, for accessing the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Flash Agriculture Robotics Inc., its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

11. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

12. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them shall be governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Richmond Hill, Ontario, and you consent to the jurisdiction of such courts.

13. Dispute Resolution

13.1. Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to negotiate in good faith to resolve the dispute.

13.2. Mediation and Arbitration

  • If the dispute cannot be resolved through negotiation within 30 days, either party may request mediation or arbitration in accordance with the rules of the Ontario Bar Association.

  • The decision of the mediator or arbitrator shall be final and binding.

14. Miscellaneous

14.1. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain in full force and effect.

14.2. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flash Agriculture Robotics Inc. regarding the use of the Services.

14.3. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
